ATTIJARIWAFA BANK’S ANNUAL GENERAL MEETING

Can any shareholder take part in the Annual General Meeting?
All shareholders have the right to participate in the shareholders' meeting.
How and where can shareholders register to attend the Annual General Meeting?

In order to attend Shareholders' Meetings, shareholders must enroll in the register of registered shares or produce a certificate attesting to the deposit of their shares with an approved depository before the expiry of a period of five days prior to the Meeting.

Any shareholder wishing to participate in the Meeting should send a request to participate by e-mail, no later than five (5) days prior to the Meeting, to the following address:
assembleegenerale@attijariwafa.com.

This request must be accompanied by the following documents in digital format:

- proof of identification (either personal or proxy);

- proof that shares are blocked, and number of shares held;

- proxy form from the represented shareholder, as applicable.

What is a voting right?
The voting right is one of the rights granted to the shareholder of a listed or unlisted company. An ordinary share carries one voting right, which the shareholder may exercise at the various general meetings of a company. The voting right allows the shareholder to participate in decisions, particularly strategic decisions.
How do I exercise my voting rights in case I cannot attend the AGM?

The shareholder who cannot attend the AGM, can represented himself by another person, returning the voting form attached to the “Securities Back Office” located at the following adress “Angle rues Dar El Koutni et rue Al Jounaid, Maârif Extension, Casablanca” or by fax on 00 212 5 22 99 21 08.

The enclosed form confers authority to complete the formalities required.

What was the amount of the last dividend payment and when was the payment date?

The dividend was MAD 16.50 per share for fiscal year 2023, which will be paid on July 4th,2024. Each shareholder will have the option to receive payment in cash or to convert all or part of the dividend into shares of the Company.
